GRAMMAR WRITER'S WORKBENCH FOR LEXICAL FUNCTIONAL GRAMMAR (LFG) LICENSE AGREEMENT--REDISTRIBUTION NOT PERMITTED SOFTWARE. This License Agreement relates only to the accompanying object code and documentation for the Grammar Writer's Workbench for Lexical Functional Grammar (the object code and documentation being "the Software"). PERMITTED USES. This License Agreement only permits the following uses of the Software (the following uses being "Permitted Uses"): 1. The Software may be used to learn about Lexical-Functional Grammar ("LFG") or for other purely non-commercial purposes; 2. The Software may be used to write grammars ("Grammars") for natural and other languages within the LFG framework, provided that Grammars written under this License Agreement may not be marketed or otherwise commercially used in any way; 3. The Software may be used to make corrections, modifications, revisions, derivatives, improvements, updates, and implemented extensions of the Software, provided that corrections, modifications, revisions, derivatives, improvements, updates, and implemented extensions of the Software made under this License Agreement may not be marketed or otherwise commercially used in any way; and 4. The Software may be downloaded or otherwise copied for archival purposes, as necessary to use it on a single machine, or as necessary to store it on a server for use on more than one machine through a network, provided in any case that the person who copies the Software makes all reasonable efforts to ensure that the Software can only be accessed or used by persons who have accepted this License Agreement and further provided that any copy must contain all statutory copyright and other proprietary notices found in the Software. RESTRICTED CONDITIONAL GRANT. If you have accepted this License Agreement, Palo Alto Research Center, Inc. ("PARC") hereby grants you a non-exclusive, royalty-free license to download the Software and to otherwise engage in Permitted Uses of the Software, except that you are not permitted: 1. To distribute the Software or any part of the Software to any person other than those who have accepted this License Agreement; 2. To reverse engineer the Software, such as by decompiling or disassembling object code; 3 To copy the Software other than as specified above; 4. To rent, lease, sell, transfer, or otherwise transfer or attempt to transfer rights to the Software; 5. To remove any proprietary notices or labels on the Software; 6. To use the Software or Grammars written using the Software for any commercial purpose; or 7. To export, directly or indirectly, any technical information you receive from PARC under this Agreement or any products utilizing any such data to any country for which the U.S. Government or any agency thereof at the time of export requires an export license or other Government approval without first obtaining such license or approval. FEEDBACK. You grant to PARC a perpetual, irrevocable, nonexclusive, royalty-free, world-wide license covering any and all rights you own, control, or can license relating to any corrections, modifications, revisions, derivatives, improvements, updates, implemented extensions, and suggested changes in the Software made, created, developed or otherwise originating from your use of the Software pursuant to this License Agreement. PARC shall have the right under this license to make, have made, use, offer for sale, sell, lease, reproduce, prepare derivative works, import, distribute, sublicense and otherwise dispose of the licensed subject matter and to sublicense others to perform any of these acts. TITLE. Title, ownership rights, and intellectual property rights in the Software shall at all times remain in PARC. The Software is protected by the copyright laws and treaties and may be protected by other laws. TERMINATION. You may terminate this License Agreement at any time, with or without cause, by destroying all copies of the Software and corrections, modifications, revisions, derivatives, improvements, updates and implemented extensions of the Software that you have produced. This License Agreement will terminate automatically if you fail to comply with any provision of this License Agreement, in which case you must promptly destroy all copies of the Software and corrections, modifications, revisions, derivatives, improvements, updates and implemented extensions of the Software that you have produced. Your obligation not to use Grammars written using the Software for any commercial purpose and the license granted to PARC hereunder shall both survive termination. EXPORT CONTROLS. None of the Software or underlying information or technology may be downloaded or otherwise exported or reexported (i) into (or to a national or resident of) Cuba, Iraq, Libya, Yugoslavia, North Korea, Iran, Syria, or any other country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders. By downloading or using the Software, you are agreeing to the foregoing and you are representing and warranting that you are not located in, under the control of, or a national or resident of any such country or on any such list. DISCLAIMER OF WARRANTY. The Software is made available "AS IS," without warranty of any kind. PARC does not offer or agree to provide maintenance, support, or updates of the Software and makes no representations whatsoever with respect to the Software or its use hereunder. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE SOFTWARE AND ITS USE, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. The entire risk as to the quality and performance of the Software is borne by you. Should the Software prove defective, you and not PARC assume the entire cost of any service and repair. This disclaimer of warranty constitutes an essential part of this License Agreement. The Software is not fault-tolerant and is not designed, manufactured or intended for use with equipment in hazardous environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines, or weapons systems, in which the failure of the Software could lead directly to death, personal injury, or severe physical or environmental damage ("High Risk Activities"). PARC specifically disclaims any express or implied warranty of fitness for High Risk Activities. SOME JURISDICTIONS LIMIT EXCLUSION OF CERTAIN IMPLIED WARRANTIES, SO APPLICATION OF THE ABOVE DISCLAIMER TO YOU MAY BE LIMITED BY LAW AND YOU MAY HAVE OTHER LEGAL RIGHTS THAT VARY BY JURISDICTION. LIMITATION OF LIABILITY. NOTWITHSTANDING ANY OTHER PROVISION CONTAINED HEREIN AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARC EXPRESSLY DISCLAIMS ANY LIABILITY FOR DAMAGES RESULTING FROM THE SOFTWARE OR ITS USE. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, SHALL PARC BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER RESULTING FROM USE OF THE SOFTWARE INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE, OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES. IN NO EVENT WILL PARC BE LIABLE FOR ANY DAMAGES IN EXCESS OF THE AMOUNT YOU HAVE PAID TO PARC FOR A LICENSE TO THE SOFTWARE, EVEN IF PARC SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY. SOME JURISDICTIONS LIMIT EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO APPLICATION OF THE ABOVE LIMITATION OF LIABILITY MAY BE LIMITED BY LAW. MISCELLANEOUS. This Agreement represents the complete agreement concerning this license and may be amended only by a writing executed by both parties. If any provision of this Agreement is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable. This Agreement shall be governed by California law (except for conflict of law provisions). The application of the United Nations Convention of Contracts for the International Sale of Goods is expressly excluded.
